This FAQ accompanies the Q1 2026 quarterly update and the related certificate offering. The answers are intended as general guidance and do not constitute investment or tax advice.

  • Is the value of a share equal to the value of a certificate?

    Economically, one certificate generally represents the interest of one ordinary share (1:1).

  • Does €0.50 mean my existing certificates/shares are now ‘worth less’?

    • No. €0.50 is the offer/issue price for this bridge round towards the Series A.
    • Existing rights or conditions of current shareholders and certificate holders remain unchanged.
    • Profit or loss is only realised upon sale/exit; the price of a new round does not change your historical purchase price.
  • I previously paid €1.00 (or more). Have I lost the difference?

    • Not necessarily. This is a new entry price for new capital; your rights remain unchanged.
    • The eventual outcome depends on company performance, potential future funding rounds, and a future sale/exit.
    • We do not provide guarantees regarding future value or returns.
  • How many certificates are available and where do they come from?

    • There are currently 234,000 certificates available in the STAK pool (not yet issued).
    • This number may increase if certificates are released because certificate holders do not respond in time or fail to meet the conditions for final registration.
    • Released certificates may be re-offered.

  • Am I diluted if I do not invest?

    • This offering is sourced from the existing (unissued) certificate pool of the STAK. As a result, the number of shares in Fininly B.V. does not change.
    • Your number of certificates remains the same; your relative interest in Fininly, based on the total number of shares, does not change as a result of issuance from the existing pool.
    • Please note: future issuance of new BV shares (e.g. in a Series A) may result in dilution. In such cases, separate decision-making and communication will follow.
  • What does ‘dilution’ mean exactly?

    • Dilution means that, through the issuance of new shares (or economically equivalent rights), your percentage ownership may decrease.
    • In this round, certificates are issued from an existing pool; future rounds may include the issuance of new shares.

  • How does the bonus scheme work?

    • The bonus consists of additional certificates granted on top of your purchase, according to the tiered structure (30% / 50% / 75%).
    • Bonus certificates are drawn from the same available pool and count towards the maximum issuance of this round.
    • In the event of oversubscription, we will publish the allocation method in advance (e.g. pro rata or first-come, first-served).
  • Can I sell my certificates now?

    • The transfer/sale of certificates is governed by the STAK’s administrative terms.
    • There is currently no organised secondary market or trading facility; transfers may therefore be limited and subject to (administrative) conditions.
  • What is a Series A round and why are we doing a bridge round now?

    • A Series A investor typically invests larger amounts based on a proven proposition to accelerate growth.
    • The bridge round is intended to finance the period leading up to the Series A and to further prepare the company to be investor-ready.
  • What is meant by final registration (KYC) and annual statement?

    • For final registration, certificate holders must meet requirements including identification and KYC procedures.
    • Upon completion, annual statements/overviews will be made available in the documents section of your profile on my.fininly.com.
  • What value should I use for my tax return?

    • The tax reference date for Box 3 (in NL) is generally 1 January of the relevant tax year; valuation is personal and depends on your situation (Box 2 / Box 3).
    • Fininly cannot provide individual tax advice. However, we do provide factual information (such as the number of certificates and relevant transaction/offer prices).
    • If in doubt, please consult your tax adviser.
  • When is the next AMA (Ask Me Anything)?

    The next AMA is scheduled for 7 April 2026 at 17:00. Registered certificate holders will receive an invitation.

  • What does STAK mean?

    STAK stands for a Dutch Foundation for Administrative Office (Stichting Administratiekantoor). For Fininly, this is the Stichting Administratiekantoor Fininly (Chamber of Commerce registration 92647383). The STAK holds the underlying shares and issues depositary receipts (certificates) to certificate holders.

    As a certificate holder, you hold the economic interest that is generally linked 1:1 to the underlying shares (such as entitlement to distributions), while the STAK retains the legal ownership and (where applicable) administers the exercise of voting rights. The STAK’s board acts in accordance with its articles of association and the administration conditions, which set out, among other things, the rules for issuance, registration, transfer and the exercise of rights attached to the certificates.

  • Previously, different valuations/prices per share or certificate were mentioned. Has the value changed?

    Previously referenced pricing of Fininly reflected a valuation indication at that time, based on expectations, market positioning and the development stage of Fininly at that moment. Valuation is not a guaranteed or fixed price, but an indication under different assumptions.


    The ultimate return on investment depends on Fininly’s long-term growth and a future exit, not on the price of an individual interim round.
